Terms of Service

1. Acceptance of Terms

By accessing or using the BacklogHygiene platform at backlog-hygiene.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

BacklogHygiene is an AI-powered backlog hygiene tool for engineering teams. The Service connects to project trackers (Linear, Jira) via OAuth, analyzes issues using artificial intelligence (Google Gemini), and provides automated recommendations including duplicate detection, stale issue identification, labeling suggestions, and sprint reports.

3. Account Registration

• You must sign in using Google OAuth. You are responsible for maintaining the security of your Google account.
• You must provide accurate and complete information during registration.
• You are responsible for all activity that occurs under your account.
• You must be at least 16 years of age to use the Service.

4. OAuth Integrations & Permissions

When you connect Linear or Jira, you authorize BacklogHygiene to access your workspace data through OAuth 2.0 with the minimum scopes required:

• Read and write issues, labels, and project metadata.
• We do not access data outside the connected workspace (no email, files, or calendar).
• You can revoke access at any time through your Linear, Jira, or Google account settings. Revocation will immediately disable the corresponding integration.

5. AI-Generated Content

The Service uses AI (Google Gemini) to generate recommendations, reports, and analysis. You acknowledge that:

• AI outputs are suggestions, not guarantees. You are responsible for reviewing and approving any changes before they are applied to your project tracker.
• AI may occasionally produce inaccurate, incomplete, or unexpected results. BacklogHygiene is not liable for decisions made based on AI-generated content.
• We do not guarantee the availability, accuracy, or timeliness of AI processing.

6. Billing & Subscriptions

• The Service offers free and paid plans. Paid plans are billed monthly or annually through Paddle.
• Prices are displayed in USD and are exclusive of applicable taxes unless stated otherwise.
• Subscriptions renew automatically. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Refunds are issued at our discretion. If you are unsatisfied, contact us within 14 days of payment for a review.
• We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified via email before any price change takes effect.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to other users' data, accounts, or the underlying infrastructure.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malware, spam, or harmful content.
• Exceed reasonable usage limits or abuse the API in a way that degrades performance for other users.
• Resell or redistribute the Service without written permission.

8. Intellectual Property

The Service, including its design, code, logos, and documentation, is owned by BacklogHygiene and protected by intellectual property laws. You retain full ownership of your data (issues, projects, reports). We claim no intellectual property rights over the content you provide or the data fetched from your project trackers.

9. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data, including details on OAuth scopes, AI processing, and third-party services.

10. Service Availability & Modifications

• We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance or due to circumstances beyond our control.
• We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when possible.
• We may update features, integrations, and AI models. We will notify you of material changes that affect your workflow.

11. Limitation of Liability

To the maximum extent permitted by law, BacklogHygiene shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-generated outputs will be accurate, complete, or suitable for any specific purpose.

13. Termination

• You may terminate your account at any time by contacting us or using the account deletion feature in the dashboard.
• We may suspend or terminate your account if you violate these Terms, with notice where practicable.
• Upon termination, your right to use the Service ceases immediately. Your data will be deleted in accordance with our Privacy Policy.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

15. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
